BY-LAWS OF THE GLENOLDEN YOUTH CLUB

 

ARTICLE I.

Section 1 NAME

The Club, a non-profit organization shall be known as the Glenolden Youth Club, Inc. hereafter called the GYC. The colors of this club shall be gold, maroon, and white.

 

Section 2 OBJECTIVE

The purpose and objective of the GYC is to promote and provide, to the extent possible the Moral, Educational, and Physical well being of its’ members. To this end, the organization will:

1. Provide facilities, procure equipment and promote athletic games, for the recreational and educational purposes of its’ members.

2. Maintain a Club of a moral, physical fitness and educational nature. GYC shall not permit or condone poor sportsmanship or unethical conduct by its’ members.

 

Section 3 GEOGRAPHICAL BOUNDARIES

The boundaries of the GYC shall be defined as the Borough of Glenolden and that part of Folcroft known as Llanwellyn Gardens. The GYC Board of Director reserves the right to refuse or accept members from outside these boundaries.

 

Section 4 REPRIMAND SUSPENSION or EXCLUSION

The GYC shall have the power to reprimand, suspend or exclude by act of it’s Board of Directors, any member who fails to comply with the rules and regulations of the GYC or it’s By-laws. Action towards suspension, reprimand and/or exclusion shall not take place until four (4) days notice has been given to the offending member to attend a hearing Before the Board of Directors.

 

ARTICLE II.

Section 1 QUALIFICATIONS

The membership of the GYC shall be composed of children and their parents (or legal guardians) who subscribe to the purposes and basic policies of the GYC who are of good moral character and who will participate in the projects of sporting events in which the GYC is involved, subject to the compliance of the By-laws.

Membership shall be made available without regard to sex, color, creed or national origin for those individuals residing within the Glenolden boundaries as defined in Article I, Section 3. Those members who move outside the borough may retain their membership with the approval of the Board of Directors.

An active member in good standing is one who is properly registered and/or actively participates in GYC programs.

All Members are responsible for reading, understanding and complying with GYC By-Laws, Code of Conduct, PA Child Protective Services Law and the GYC Coach/Volunteer screening process.

 

Section 2 REGISTRATION

The GYC shall conduct registration online via the GYC webpage for all members, to be held at a date and time so designated by the Board of Directors.  Registrations may be accepted throughout the year at the discretion of the Vice-President or during an open period designated by the Board of Directors.

Birth Certificates or Baptismal Certificates will be required to provide proof of the date of birth for members who participate in GYC sporting activities (first time registrants only). No child will be accepted as a GYC member until he/she has reached their 5th birthday prior to September 1, unless otherwise stated on the registration form or approved by the Board of Directors.

Each member is required to register for the activities in which they wish to participate for that period. Individual refunds must be requested in writing (or email to the Vice President) within 30 days.  After 30 days refunds must be approved by the Board of Directors.  No refunds we be issued after 60 days, no exceptions.

Subject to the approval of the Board of Directors, the minimum age requirements for eligibility may be lowered to the next birth year, for a particular sport, when deemed necessary. Such an approval shall be for that individual case only, and shall not carry over to other sports or years.

 

Section 3 DUES

Each member of the GYC shall pay annual dues as determined by the Board of Directors and voted upon by a majority of the General Membership.

Dues are payable at the time of registrations unless circumstances dictate otherwise (hardship cases to be determined by the President and Vice-President).

 

Section 4 PARENTAL APPROVAL

Certificate of Parental approval (signature on registration form or completion of online registration) granting their child to participate in all supervised games and practice sessions shall be obtained from the parent(s) or legal guardian of the member for each registration. The approval shall serve as a waiver for all responsibilities and claims against the GYC or any of its Directors or Members in the event of an accident, injury or death of their child or children as a result of the risks or hazards incidental to the conduct of the activities including transportation to and from such activities.

 

Section 5 VOTE

Only active members in good standing as defined in Article II, Section 1, titled membership, who have reached their eighteenth (18) birthday shall have voting privileges.

 

ARTICLE III.

Section 1 BOARD OF DIRECTORS

The general management of the affairs and property of the GYC shall be vested in the Board of Directors. The number of the Board of Directors shall consist of no more than thirteen (13).

 

Section 2 BONDING

The Board of Directors shall secure the fidelity of the President, Vice-President and Treasurer, and any other Director or Member by bond, in the amount they deem proper.

 

Section 3 AUDIT

The accounts of the GYC shall be examined annually by a certified public accountant, who, satisfied that the Treasurer’s records are current, accurate, and reported properly, shall sign a statement of the fact at the end of that report.

 

Section 4 EXECUTION OF INSTRUMENTS

The President and a Board Member shall, on being directed by the Board of Directors sign all documents and contracts. The President and one of two designated officers, as directed by the Board of Directors, shall sign all checks, withdrawal slips and negotiable instruments of the GYC.

 

Section 5 COMPENSATION OF DIRECTORS

Neither the Directors or Members serving on committees shall receive any salary for their services rendered to the GYC.

 

Section 6 DISSOLUTION

To dissolve the GYC, a resolution stating such must be read aloud at a General Membership meeting and voted on at the next, and passed by a majority vote by the members present. Disposal of GYC property and assets shall not accrue to the financial benefit of any member and shall be only to the Borough of Glenolden, to be used for youth recreational purposes only.

 

ARTICLE IV.

Section 1 MEETINGS OF THE GENERAL MEMBERSHIP

Regular meetings of the General Membership may be called by the Board of Directors, or the President at his/her own initiative, or by the Secretary upon written request of three (3) active members in good standing. This section has been amended to receive verbal notification as well.

 

Section 2 MEETINGS OF THE BOARD OF DIRECTORS

Regular meetings of the Board of Directors will be held on a monthly basis at a time and location designated by the Board of Directors.

 

Section 3 RULES OF ORDER

Robert’s Rules of Order (11th Edition) shall govern all GYC meetings except where the By-laws provide otherwise.

 

Section 4 QUORUM/LACK THEROF

A majority of the Directors in office shall constitute a quorum for the transaction of business. A majority vote of the Directors present at a meeting, at which a quorum is present, shall be the acts of the Board of Directors. In the event a quorum is not present at the specific Board of Directors meeting, the absent members shall be polled by the President, in the most expedient manner.

The president is a non-voting member except in the event of a tie.

 

Section 5 ORDER OF BUSINESS

At all meetings of the GYC, the order of business shall be as follows:

a) Approval of minutes from prior meeting;

b) Approval of current Treasurer’s report;

c) Reading of current GYC correspondence;

d) Secretary Report;

e) Vice-President Report;

f) Girls Athletic Director Report;

g) Boys Athletic Director Report;

h) Purchasing Report;

i) Equipment Report;

j) Maintenance Report;

k) Ways and Means Report;

l) Open to General Membership;

m) Old Business;

n) New Business;

o)Adjournment;

 

ARTICLE V.

Section 1 ELECTION OF DIRECTORS

Directors of the GYC shall be elected at the Annual Meeting of the General Membership and serve a term of two (2) years until their successor has been elected.

 

Section 2 ELECTION REQUISITE

Directors shall be nominated from the floor at a General Membership Meeting by a member in good standing, as defined in Article II, Section 1.

Active members that have attended at least two (2) meetings will have the right to vote.

Elections shall be by secret ballot and it will be the responsibility of the Secretary to validate. The candidate receiving the most votes recorded should be declared elected.

Directors take office at the next scheduled Board of Director’s meeting.

 

ARTICLE VI.

Section 1 VACANCIES IN OFFICE

If a vacancy occurs among the Board of Directors the vacancy shall be filled without delay by the President and approved by the General Membership at the next General Membership meeting or at a special meeting called for that specific purpose.

The person chosen shall fill the vacancy for the unexpired term of that office.

 

ARTICLE VII.

Section 1 PRESIDENT

The President shall preside at all meetings of the GYC, conduct meetings in the manner of Parliamentary procedures, appoint all committee chairpersons, enforce the By-laws and rules and regulations as adopted by the GYC, call meetings when needed, supervise the affairs of the Club as well as sign checks with the Treasurer, contracts and documents as approved by the Board of Directors. He/she shall also generally insure the management of the GYC in accordance with the needs, desires and philosophies as are necessary to the office of the President.

He/she shall also communicate to the membership and to the Board of Directors, such matters and make suggestions and promote the welfare and increase the usefulness of the GYC.

He/she shall also serve as Chairman of the Board of Directors.

 

Section 2 VICE-PRESIDENT

In the case of the absence of the President, or his/her inability to perform the acts of President, the Vice-President shall perform all duties.

He/she is to assist the President in the administration of his duties, serve as Vice-Chairman of the Board of Directors, assume the responsibility for registration, and perform other duties as may be required of him by the By-laws, the President, or the Board of Directors.

He/she shall serve as Vice-Chairman of the Board of Directors.

 

Section 3 SECRETARY

Shall keep minutes of all meetings of the GYC and the Board of Directors, shall distribute such minutes at the next meeting for approval and shall maintain a record of all proceedings of the GYC, issue calls for meetings, make available records upon proper approval and perform such duties as required by the By-laws, the President, or Board of Directors.

 

Section 4 TREASURER

The Treasurer shall have charge of all receipts and money, take charge of the books and accounts in connection with the financial affairs of the GYC, deposit all monies in the GYC name and disburse funds as approved and directed by the Board of Directors.

 

Section 5 ATHLETIC DIRECTORS

The Boys Athletic Director shall have charge of all male activities sponsored by the GYC. He/she will recommend for approval to the board of Directors a Commissioner for the following activities: Bowling, Baseball, Football, and Basketball.

The Girls Athletic Director shall have charge of all female activities sponsored by the GYC. He/she will recommend for approval to the board of Directors a Commissioner for the following activities: Bowling, Softball, Soccer, and Basketball, and Cheerleading.

Together they are responsible to recommend for approval all coaches. The Directors will have the responsibility to assure the coaches, assistant coaches and commissioners conduct themselves in the best interests of the GYC. They shall maintain a set of rules and regulations for those sports (intramurals), register those teams in the league if necessary, and make sure the GYC meets its commitments and obligations to each of its league members.

They shall maintain a record of all team registrations, results and records of each team, league winner, award winners and make available those records to the President of the Board of Directors.

 

Article 1 COMMISSIONERS

The Athletic Directors shall recommend a Commissioner to the Board of Directors for their respective sports. Upon approval, the Commissioners shall assist the Athletic Directors in administering their sport and will serve until their successor has been appointed. They will then recommend coaches and assistant coaches to the Athletic Directors. They will represent the GYC at all meetings and supply the GYC with a report after each meeting.

 

Article 2 COACHES/ASSISTANT COACHES/VOLUNTEERS

Coaches shall be responsible for the training and development of his/her team. They will be elected with Board of Director approval and will serve until their successor has been approved and appointed.

They are to conduct themselves and assure the conduct of their team members in a sportsmanlike manner, observe rules and regulations governing that particular sport, keeping in mind that he/she is representing the GYC.

All Members are responsible for reading, understanding and complying with GYC By-Laws, Code of Conduct, PA Child Protective Services Law and the GYC Coach/Volunteer screening process.

 

Section 6  MAINTENANCE DIRECTOR(S)

The Maintenance Director(s) shall be responsible for the maintenance and security of GYC Property, Fields & Facilities used by GYC. The Maintenance Director(s) shall maintain such property and shall supply to the Board of Directors a report annually or as requested. The Maintenance Director(s) shall notify the Board of Directors of any property, fields and/or facilities that are deemed unsafe, unusable, and/or otherwise damaged and recommend action to be taken. The Maintenance Director(s) shall also supply a list of all equipment and/or supplies needed for the coming year and shall adequately and safely maintain all GYC property.

The Maintenance Director(s) shall also be responsible for the issuance and collection of all property to each facility and/or team managers or club members, maintaining a record to insure the return of such property in acceptable and usable condition at a pre-determined turn-in time. The Maintenance Director(s) shall notify the Board of Directors of all unauthorized use of such equipment and shall perform other such duties as requested of the By-laws, the President, or the Board of Directors.

 

Section 7 EQUIPMENT MANAGER(S)

The Equipment Manager(s) shall be responsible for the maintenance and security of GYC equipment, shall maintain a record of such equipment, and shall supply to the Board of Directors an inventory annually or as requested. The Equipment Manager(s) shall also supply a list of all equipment needed for the coming year and shall  adequately and safely secure all property.

The Equipment Manager(s) shall also be responsible for the issuance and collection of all equipment to team managers or club members, maintaining a record to insure the return of such equipment in acceptable and usable condition at a pre-determined turn-in time, shall notify the Board of Directors of all unauthorized equipment that is outstanding, and shall perform other such duties as requested of the By-laws, the President, or the Board of Directors.

 

Section 8 PURCHASING AGENT

The purchasing agent shall be responsible for all purchases on behalf of the GYC, receiving authorization for these purchases form the Board of Directors, shall obtain and present to the Treasurer for payment the proper invoice for all such purchases, and shall perform other duties as may be required of him/her by the By-laws, the President, or the Board of Directors.

 

Section 9 WAYS AND MEANS DIRECTOR(S)

The Ways and Means Director(s) shall be responsible for all fund raising functions, including but limited to Beef and Beverages, Candy Sales, Banquets, Picnics and Concession Stands.

The Ways and Means Director(s) shall be responsible for the purchasing and distribution of all products required for these fund raising events.

The Ways and Means Director(s) shall also be responsible for the formation of the following committees, including but not limited to sponsors, homecoming, concession stand, banquet and Beef and Beverages.

The Ways and Means Director(s) shall keep a detailed set of transactions and financial records for each activity conducted and provide to the Board of Directors a final report on same.

The Ways and Means Directors shall perform other duties as requested by the President or the Board of Directors that may contribute to the financial well-being of the GYC.

 

Section 10 COMPLIANCE OFFICER

The Compliance Officer shall be a current board member appointed by the President.  The compliance officer is responsible for the collection and maintenance of all records regarding PA Child Protective Services Law & GYC background checks of all volunteers required to submit them.

Compliance officer will report the status of members requiring clearances to the Board of Directors for final approval.

The Compliance Officer will also be responsible for informing all members of their status.  If a member is not eligible to volunteer based on their clearances or fails to obtain Board approval the Compliance Officer will notify that member in writing and keep a record of all communications.

The Compliance Officer shall keep detailed records for each member and provide to the Board of Directors a final report on same.

The Compliance Officer shall perform other duties as requested by the President or Board of Directors that may contribute to the well being of the GYC

 

ARTICLE VIII.

Section 1 MANAGEMENT OF THE GYC

The Board of Directors shall have general charge and management of the affairs, funds and property of the GYC. It shall be the Board’s duty to carry out the purposes of the GYC according to the By-laws.

The Board of Directors may make rules for the conduct of the members and the use of GYC property, shall determine whether the conduct of any member is detrimental to the welfare of the GYC, and shall take appropriate action for such misconduct or any violation of the By-laws.

The Board of Directors shall authorize all purchases and all contracts entered into by the GYC, which the Board deems necessary or desirable for the effective operation or well-being of the GYC.

 

ARTICLE IX.

Section 1 AMENDMENTS

To institute or amend the By-laws of the GYC, the Article or Section in question must be presented, and copies available at one general membership meeting and discussed and voted on at the next, and passed by a majority vote of the members present.

  • CHAMPIONSHIP – IN THE EVENT OF A CHAMPIONSHIP EACH REGISTERED TEAM PLAYER WILL RECEIVE A CHAMPIONSHIP JACKET OR CHAMPIONSHIP SWEATSHIRT. IN THE EVENT OF A DIVISION CHAMPIONSHIP, EACH REGISTERED TEAM PLAYER WILL RECEIVE A DIVISION CHAMPION SWEATSHIRT. THE JACKET AND SWEATSHIRT WILL BE A STANDARD CHAMPIONSHIP JACKET OR SWEATSHIRT AND WILL NO LONGER BE SELECTED BY THE COACH. THE BOARD WILL PURCHASE THE JACKET OR SWEATSHIRT. BOTH THE JACKET AND SWEATSHIRT WILL BE IN GYC COLORS. NO EXCEPTIONS.
  • BOARD – THE GYC SHALL HAVE THE POWER TO ASK FOR THE RESIGNATION OF ANY BOARD MEMBER WHO FAILS TO ATTEND TWO (2) CONSECUTIVE GENERAL MEMBERSHIP/CLOSED BOARD MEETINGS WITHOUT FIRST NOTIFYING THE EXECUTIVE BOARD (PRESIDENT, VICE-PRESIDENT, TREASURER, SECRETARY). AT SUCH TIME, THE BOARD OF DIRECTORS WILL REVIEW THE CIRCUMSTANCES INVOLVING SAID BOARD MEMBER AND MAKE ITS DECISION REGARDING THEIR STATUS.. – 08/28/04
  • TOURNAMENTS – ANY COACH WHO WISHES TO ENTER A TOURNAMENT FOR ANY SPORT, MUST ASK PERMISSION OF THE GYC BOARD OF DIRECTORS, NO EXCEPTIONS. WAVIER POLICIES

In consideration of being allowed to participate in any way in the GLENOLDEN YOUTH CLUB programs, related events and activities, the undersigned acknowledges, appreciates, and agrees that:
1. The risk of injury and/or illness from the activities involved in the program is significant, including the potential for permanent paralysis and death, and while particular rules, equipment, and personal discipline may reduce the risk, the risk of serious injury does exist;
2. The risk to have contact with individuals, who have been exposed to and/or have been diagnosed with one or more communicable diseases, including but not limited to COVID-19 or other medical conditions, diseases, or maladies does exist, and it is impossible to eliminate the risk that I could be exposed to and/or become infected through contact with or close proximity with an individual with a communicable disease;
3. I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS, both known and unknown, EVEN IF ARISING FROM THE NEGLIGENCE OF THE RELEASEES or others, and assume all full responsibility for my participation; and
4. I willingly agree to comply with the stated and customary terms and conditions for participation. If, however, I observe any unusual significant hazard during my presence or participation, I will remove myself from participation and bring such to the attention of the nearest official immediately; and
5. I, for myself and on behalf of my heirs, assigns, personal representatives and next of kin, HEREBY RELEASE AND HOLD HARMLESS THE GLENOLDEN YOUTH CLUB, their officers, officials, agents and/or employees, other participants, sponsoring agencies, sponsors, advertisers, and if applicable, owners and lessors of the premises used to conduct the event (“Releasees”), WITH RESPECT TO ANY AND ALL INJURY, ILLNESS, DISABILITY, DEATH, or loss or damage to person or property, WHETHER ARISING FROM THE NEGLIGENCE OF THE RELEASEES OR OTHERWISE.
6. I HAVE READ THIS RELEASE OF LIABILITY AND ASSUMPTION OF RISK AGREEMENT, BEFORE ACKNOWLEDGING THE CHECKBOX BELOW, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY AGREEING TO IT ON MY OWN BEHALF OR ON BEHALF OF THE YOUTH PARTICIPANT ASSOCIATED WITH THIS GUARDIAN ACCOUNT, AND I SIGN IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT.

ACKNOWLEDGEMENT BY ADULT PARTICIPANT: By acknowledging and agreeing to the checkbox below, I agree and verify the following: 1) I consent and agree to assume the risks of participation in these programs; and 2) that I specifically agree to the release as provided herein of all the Releasees, and, for myself, my heirs, assigns and next of kin, I release and agree to indemnify the Releasees from any and all liabilities incident to my involvement or participation in these programs EVEN IF ARISING FROM THE NEGLIGENCE OF THE RELEASEES OR OTHERWISE.

ACKNOWLEDGMENT BY PARENTS AND/OR LEGAL GUARDIANS OF YOUTH PARTICIPANTS: By acknowledging and agreeing to the check box below, I agree to and verify the following: 1) I am the parent or legal guardian for the youth participant associated with this guardian account, 2) that the date of birth of the youth participant associated with this guardian account is correct, 3) that as parent/legal guardian with legal responsibility for this youth participant, I consent and agree to assume the risks of his/her participation in these programs; and 4) that I specifically agree to his/her release as provided herein of all the Releasees, and, for myself, my heirs, assigns and next of kin, I release and agree to indemnify the Releasees from any and all liabilities incident to this youth participant’s involvement or participation in these programs as provided above EVEN IF ARISING FROM THE NEGLIGENCE OF THE RELEASEES OR OTHERWISE. –07/19/2020

 

PLAYER WAVIERS:

PLAYER WAVIERS ARE A LEAGUE RULE AND NOT A GYC RULE.  It shall be the general rule of the GYC not to grant a wavier to a child if GYC has a team in that child’s age bracket.  The wavier only applies to that particular sport.  Any exception to this rule must be discussed and voted on by The Board after their parent or guardian requests a waiver in person at an Open Membership Meeting. –2/28/2011
